Terms of Service
Version 2026-10 · Effective date: October 18, 2026
These Terms of Service ("Terms") are an agreement between Diocri Corporation, a Delaware corporation ("Diocri," "we," "us"), and the business that creates a Diocri account ("Customer," "you"). They govern your use of the Diocri web application at app.diocri.com and our website at diocri.com (together, the "Service"). You accept these Terms by checking the box at signup or in the app. The person who accepts them confirms they have authority to bind the Customer.
1. The Service
Diocri is operations software for landscaping companies. Depending on your plan, it lets you track trucks, equipment, properties, crews, alerts and monthly reports. We may improve, change or remove features over time. We will give reasonable notice before removing a feature that is material to a paid plan.
2. Accounts and users
- You must be at least 18 years old and use the Service for business purposes.
- You must give accurate account information and keep it current.
- The account admin can invite team members and assign roles. You are responsible for everything done under your account and for your users following these Terms. You are responsible for your users' actions in the Service as if they were your own, including any misuse of the Service or of Customer Data by your employees, contractors or other users you invite. Decisions about who gets access, which roles they have and when access is removed are yours.
- Keep passwords confidential. Tell us right away at support@diocri.com if you suspect unauthorized access.
3. Free trial, plans and payment
New accounts get a 14-day free trial with no payment card required. After the trial, continued use requires a paid subscription. Plans, prices and limits are shown at diocri.com/pricing and in the app. Subscriptions renew automatically until canceled. Our Subscription, Auto-Renewal & Refund Policy is part of these Terms. Payments are processed by Stripe. Prices exclude applicable taxes, which we collect where required.
4. Your data
"Customer Data" is the information you or your users put into the Service, such as vehicle, equipment, property, crew and client details. You own your Customer Data. You give us a limited license to host, process and display it only to provide, secure and support the Service. We process Customer Data as described in our Privacy Policy and Data Processing Addendum. You are responsible for having the right to upload Customer Data, including any personal information about your clients and employees.
As between you and Diocri, you control Customer Data and decide what it contains and who can see it. Diocri does not review Customer Data and is not responsible for its accuracy or for how your users use it. Questions or claims from your employees, contractors or clients about Customer Data, their employment or your services must be handled by you. If we receive one, we will forward it to you.
5. Acceptable use
You and your users will not:
- Break any law or violate anyone's rights, including privacy rights.
- Upload malware, or content that is unlawful, infringing, harassing or deceptive.
- Try to access another customer's data, or probe, scan or test the Service's security without our written permission.
- Interfere with the Service, overload it, or get around usage limits, rate limits or plan limits.
- Copy, resell, sublicense or reverse engineer the Service, except where the law allows it.
- Use the Service to build a competing product.
- Store highly sensitive data in the Service, such as Social Security numbers, payment card numbers, health records or government ID numbers.
6. Suspension
We may suspend access if your account is past due, if we reasonably believe you broke Section 5, or if needed to protect the Service or other customers. When possible, we will tell you first and give you a chance to fix the problem.
7. Cancellation and termination
You can cancel any time from the Billing page in the app (Manage billing). Cancellation takes effect at the end of the current billing period. Either party may end these Terms if the other materially breaches them and does not fix the breach within 15 days of written notice. We may also discontinue the Service, or end these Terms for convenience, by giving you at least 30 days' notice by email. In that case we will refund the unused portion of any prepaid fees and give you the chance to request a copy of your Customer Data before your account is closed. After cancellation or an unpaid trial, your account is locked and your data is deleted on the schedule in our Data Retention & Deletion policy. If you need a copy of your data, ask us at support@diocri.com before then.
8. Confidentiality
"Confidential Information" means non-public information that one party discloses to the other and that is marked confidential or should reasonably be understood as confidential, including Customer Data and non-public details about the Service. The receiving party will use it only to perform under these Terms, will protect it with at least reasonable care, and will disclose it only to its personnel, contractors and service providers who need to know it and are bound by similar obligations. This section does not cover information that is or becomes public through no fault of the receiving party, that the receiving party already knew or independently developed, or that it lawfully received from a third party. A party may disclose Confidential Information when required by law, after giving reasonable notice to the other party where allowed.
9. Our intellectual property
We own the Service, including its software, design and the Diocri name and logo. These Terms do not give you any rights to them except the right to use the Service. If you send us feedback, we may use it without obligation to you.
10. Beta features
We may offer features labeled "beta," "preview" or similar. They are optional, may change or be removed at any time, may not be as reliable as other features, and are provided as is, without any commitment of support or availability.
11. Third-party services
The Service relies on third-party providers, listed on our Subprocessors page. We are not responsible for services you choose to connect that we do not control.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE. Reminders and alerts in the Service, such as registration or inspection dates, are aids only. You remain responsible for your vehicles' and equipment's legal compliance.
13. Limitation of liability
TO THE EXTENT THE LAW ALLOWS: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA; AND (b) EACH PARTY'S TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF (i) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS (US$100). These limits do not apply to your payment obligations, to a breach of Section 5, or to your obligations under Section 14.
14. Indemnity
You will defend, indemnify and hold harmless Diocri and its officers, directors, employees and contractors against any third-party claims, losses, damages, fines and reasonable legal fees arising from: (a) your Customer Data; (b) your or your users' use or misuse of the Service; (c) claims by your employees, contractors, crew members or clients relating to your business, their employment, or the information you put into the Service; or (d) your breach of Section 5 or of applicable law. We will notify you promptly of any such claim, let you control its defense, and cooperate reasonably at your expense. You may not settle a claim in a way that imposes obligations on us without our consent.
15. Force majeure
Neither party is liable for a delay or failure to perform caused by events beyond its reasonable control, such as natural disasters, power or internet outages, failures of third-party hosting providers, labor disputes, acts of government or war. This section does not excuse your payment obligations.
16. Changes to these Terms
We may update these Terms. For material changes we will email the account admin at least 30 days in advance and may ask you to accept the new version in the app. Continuing to use the Service after a change takes effect means you accept it. If you do not agree, you may cancel before it takes effect.
17. Governing law and disputes
The laws of the State of Delaware govern these Terms, without regard to conflict-of-law rules. Except as stated below, disputes will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and both parties consent to their jurisdiction and venue. Either party may bring an individual claim in small claims court if it qualifies. To the extent the law allows, each party may bring claims against the other only in its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. TO THE EXTENT THE LAW ALLOWS, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE.
18. Language
We may provide translations of these Terms and our policies for your convenience. If a translation conflicts with the English version, the English version controls.
19. General
These Terms, the Privacy Policy, the Subscription, Auto-Renewal & Refund Policy and the Data Processing Addendum are the entire agreement on this subject. If a provision is unenforceable, the rest stays in effect. Our failure to enforce any provision is not a waiver of our right to do so later. Neither party may assign these Terms without consent, except in a merger or sale of substantially all assets. You represent that you are not located in, organized under the laws of, or owned or controlled by anyone in a country or region subject to comprehensive U.S. sanctions, and that you are not on a U.S. government restricted-party list; you will not let anyone who is use the Service. Sections 4, 8, 9, 12, 13, 14, 17 and 19, and any unpaid fees, survive the end of these Terms. The parties are independent contractors, and these Terms do not create a partnership, joint venture, employment or agency relationship. You agree that we may send notices and other communications electronically. Notices to us go to support@diocri.com. Notices to you go to the account admin's email.
